1. Introduction

Welcome to Commercified Tech Pvt Ltd ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access our services.

2. Definitions

  • "Client" refers to any individual or entity that engages our services.
  • "Services" refers to all software development, automation, consulting, and digital solutions provided by Commercified Tech Pvt Ltd.
  • "Deliverables" refers to all work products, code, designs, documentation, and materials produced as part of our services.
  • "Confidential Information" refers to any proprietary data, trade secrets, business information, or personal data shared between parties.

3. Scope of Services

Commercified Tech Pvt Ltd provides technology services including but not limited to AI automation, website development, mobile application development, CRM solutions, SEO, and digital marketing. The specific scope, timeline, and deliverables for each engagement will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

4. Intellectual Property Rights

4.1 Ownership of Deliverables

Upon full payment of all applicable fees, the Client shall retain full ownership of all Deliverables created specifically for that Client under a signed SOW. Commercified Tech Pvt Ltd retains ownership of all pre-existing tools, frameworks, libraries, and methodologies used in the creation of Deliverables.

4.2 License to Use

Commercified Tech Pvt Ltd grants the Client a non-exclusive, perpetual, worldwide license to use, modify, and distribute the Deliverables in connection with their business operations.

5. Payment Terms

  • All fees are as outlined in the applicable SOW or Service Agreement.
  • Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
  • Late payments may incur a late fee of 2% per month on the outstanding balance.
  • Suspension of services may occur if payment is overdue by more than 30 days.

6. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party during the course of the engagement. This includes business plans, technical data, customer lists, financial information, and trade secrets. Neither party shall disclose such information to third parties without prior written consent, except as required by law.

7. Warranties and Disclaimers

Commercified Tech Pvt Ltd warrants that all services will be performed in a professional and workmanlike manner, consistent with industry standards. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Except as expressly stated herein, all services are provided "as is" without warranties of any kind, either express or implied.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Commercified Tech Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use of our services. Our total liability shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.

9. Indemnification

The Client agrees to indemnify and hold harmless Commercified Tech Pvt Ltd, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising out of the Client's use of our services or violation of these Terms.

10. Termination

Either party may terminate a service engagement by providing 30 days' written notice. In the event of termination, the Client shall pay for all services rendered up to the date of termination. Any outstanding Deliverables shall be delivered to the Client upon payment of all pending invoices.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Karachi, Sindh, Pakistan.

12. Amendments

Commercified Tech Pvt Ltd reserves the right to modify these Terms at any time. Changes will be effective upon posting on this page with an updated revision date. Continued use of our services after such changes constitutes acceptance of the updated Terms.
